End-User License Agreement
This End-User License Agreement (“Agreement”) is between Giving Tree Capital, LLC (doing business as Giving Tree, “Giving Tree,” “we,” “us”) and each person authorized to access the Giving Tree CRM application (the “Software”) (“you,” “User”). By accessing or using the Software, you agree to this Agreement. If you do not agree, do not use the Software.
1. About the Software
The Software is a private, internal business application built and operated by Giving Tree to manage its government-contracting operations — including solicitation and bid tracking, project management, delivery scheduling and logging, accounts-receivable and accounts-payable invoicing, cash-flow forecasting, performance metrics, and integration with our QuickBooks® Online accounting. It is an internal tool for Giving Tree’s own staff and is not a consumer product or a service offered to the public.
2. License grant
Subject to this Agreement, Giving Tree grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for Giving Tree’s internal business purposes and only in your capacity as an authorized User.
3. Authorized users and accounts
Access is by individual, invitation-only account. You are responsible for keeping your credentials confidential and for all activity under your account. You must promptly report any suspected unauthorized access. We may suspend or terminate any account at our discretion.
4. Acceptable use and restrictions
You agree not to:
- use the Software for any unlawful purpose or in violation of any contract, government regulation, or third-party right;
- access data you are not authorized to access, or share data from the Software outside Giving Tree except as your role requires;
- copy, modify, distribute, sell, sublicense, or create derivative works from the Software;
- reverse engineer, decompile, or attempt to extract source code, except where such restriction is prohibited by law;
- interfere with, disrupt, probe, or attempt to gain unauthorized access to the Software or its infrastructure; or
- use the Software to store or transmit malicious code.
5. Ownership
The Software, including all related code, designs, and content, is owned by Giving Tree and is protected by intellectual-property laws. Except for the limited license above, no rights are granted to you. Business data entered into the Software remains the property of Giving Tree.
6. Third-party services (QuickBooks Online)
The Software integrates with QuickBooks Online, an Intuit® service, when an administrator connects it. Your use of that integration is also subject to Intuit’s applicable terms, and Intuit’s data is handled as described in our Privacy Policy. Giving Tree is not responsible for the availability or performance of third-party services.
7. Confidentiality and data
The Software contains confidential business, financial, customer, vendor, and project information. You agree to treat all such information as confidential, to use it only as your role requires, and to comply with our Privacy Policy and any applicable government-contract confidentiality obligations.
8. Disclaimer of warranties
The Software is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Giving Tree does not warrant that the Software will be uninterrupted, error-free, or that financial calculations will be free of inaccuracies; Users remain responsible for verifying figures used for business or accounting decisions.
9. Limitation of liability
To the fullest extent permitted by law, Giving Tree will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Software.
10. Term and termination
This Agreement applies while you have access to the Software. We may suspend or terminate your access at any time, with or without cause. Upon termination, your license ends and you must stop using the Software. Sections that by their nature should survive (including Ownership, Confidentiality, Disclaimers, and Limitation of Liability) survive termination.
11. Governing law
This Agreement is governed by the laws of the State of Florida, without regard to its conflict-of-laws rules.
